Please read these terms and conditions ("Terms and Conditions") carefully before continuing your access to the Service.
BridGuru(hereinafter referred to as "We" or "BridGuru") is a platform that facilitates user access (hereinafter referred to as "You" or "User") to artificial intelligence ("AI") based online courses and learning communities according to User interests ("Service"). You can access Our site located at bridguru.com ("Platform") as a party who wants to access online courses ("Participant") or as a teacher who offers online courses through the Platform ("Mentor").
By using the Service, you hereby declare that you have read, understood, known, agreed, accepted, and are bound by all the terms and conditions in these Terms and Conditions. The Terms and Conditions along with the privacy policy ("Privacy Policy") constitute a single and valid agreement for procedures and requirements for the use of the Service, set by BridGuru.
We may change these Terms and Conditions (in whole or in part) at any time, without any obligation of prior notice to you. You are advised to visit this page regularly to ensure that you are aware of and agree to the latest version of these Terms and Conditions, because any newer version of these Terms and Conditions will replace all previous versions. If you do not agree to be subject to the Terms and Conditions or Privacy Policy, you are prohibited from using the Platform and / or Services, because your continued use after any changes, whether or not reviewed by you, will be deemed as your agreement and acceptance of the latest version of the Terms and Conditions.
GENERAL CONDITIONS
- You declare that you are at least 13 (thirteen) years old
- If you are under 18 (eighteen) years of age, then your use of the Platform and / or Services must be done with the consent of your parent or guardian ("Guardian"). The Guardian's consent is deemed to be a statement that the Guardian has read, understood, agreed, and is subject to these Terms and Conditions. The Guardian is solely responsible for (i) all your actions on the Platform; (ii) all fees or charges related to the Service; and (iii) your compliance with the Terms and Conditions and Privacy Policy.
- In the event that you use the Platform on behalf of a legal entity, business entity, or other institution ("Institution") you represent that you are authorized to act for and on behalf of the Institution and to make the Institution bound by these Terms and Conditions.
- You understand and agree that your conversation with Our customer service will be automatically stored for legal purposes and quality improvement of Our Services.
- We reserve the right not to process the creation of Accounts, Transactions, your access to online courses, and other activities related to the Service that you are allowed to do if we have suspicion that such actions are taken by you in violation of the Terms and Conditions, Privacy Policy, and/or applicable laws and regulations in the Republic of Indonesia.
- We may deactivate your Account, delete your courses, and/or stop a process in the Service without prior warning in the event of a breach or indication of breach by you of the Terms and Conditions, Privacy Policy, other usage rules set by us, or of applicable laws and regulations.
TERMS OF USE OF THE PLATFORM AND/OR SERVICE
- Your use of the Services (whether as a Participant or Mentor) can only be done by creating an account on the Platform ("Account") or logging-in with a third party account such as a Google Account.
- The creation of an Account by You will require a number of personal data such as name, email, telephone number, as well as other data required for the creation of an Account and the execution of online course purchases ("Transactions"). Your Personal Data will only be used by Us and/or Mentor to run the Service and for other purposes with Your consent under applicable law.
- Account creation is free of charge.
- We provide services by facilitating Participants in purchasing online courses and accessing online courses that have been uploaded by Mentors to the Platform.
- In processing Transactions, We may use payment services from third parties. Any errors due to events or matters beyond Our control in connection with payment services organized by third parties are not Our responsibility. However, We will use Our best efforts to help resolve any problems that arise. Your chosen banking service/payment service provider may charge You additional fees for its services.
- You undertake not to assign, transfer or authorize any other person to use your identity or Account. You must maintain the confidentiality of your account password and any identification submitted to you or your Personal Data. Illegal use of Your Account resulting from the disclosure of passwords in any form does not make transactions or orders for Services made through Your Account considered illegal orders or transactions.
- You must report to Us if in the event that You for any reason, lose control of Your Account. You are responsible for the use or misuse of Your Account on the Platform by others.
- You promise that your use of the Platform and/or the Services is only done to engage yourself as a Participant or as a Mentor. You are prohibited from misusing or using the Platform for illegal activities, including but not limited to money laundering, theft, fraud, terrorism, or other fraudulent acts. You also promise not to cause inconvenience to others or create fake orders through the Platform.
- As a Mentor, You are prohibited from misusing Participant data for purposes other than Course delivery. Any misuse of data by You will be Your responsibility and You release Us from any risks related to such misuse.
- You acknowledge and agree that any information in any form, including but not limited to video, audio, images, or text on the Platform has intellectual property rights (including but not limited to brands and copyrights). You are prohibited from using, modifying, disclosing, distributing, and/or disassembling such information without permission from the owner.
- You are prohibited from harming, misusing, altering, or modifying the Platform with any data, including but not limited to distributing viruses, worms, spyware, or other computer code, files, technology, or programs intended to damage or take over the operation of hardware and / or telecommunications equipment, or other aspects of the Platform or the interests and / or property of the User.
- When accessing and using the Platform and/or Services, you are prohibited from:
- violate any law, third party rights, the Terms and Conditions, or the Privacy Policy;
- upload or display information or content in any form that infringes, interferes with, or misappropriates any intellectual property rights of third parties;
- share your personal data with other third parties, either through the Platform directly or on available communities ("Communities");
- sell, share or transfer the Account to another party;
- retrieve or collect personal data from other Users, including but not limited to email addresses, without the consent of the relevant User; and/or
- use the Platform to distribute advertisements or other content that is not relevant to the Service.
MENTOR
- If you are using the Platform in your capacity as a Mentor, you are required to go through a series of identity and qualification verifications before you can market your online courses through the Platform.
- You may upload your online course ("Course") on the Platform through your Account dashboard, and in the upload process, you must ensure that you have included complete and correct information regarding the Course.
- The price of the course is determined by the Mentor by selecting from the price list provided by BridGuru.
- If the Mentor is an Institution that collects Value Added Tax ("VAT") in Course transactions, then the Mentor must include a price that includes VAT on the Platform.
- Courses that you have uploaded on the dashboard will go through a curation process from us before they can be displayed on the Platform. We will only serve courses that have passed curation from BridGuru.
- In addition to uploading Courses, you can also monitor Course statistics through your Account dashboard as a Mentor.
- Marketing of Courses through the Platform will be subject to a marketplace commission ("BridGuru Commission") which will be deducted directly from the proceeds of Course sales.
- In uploading the Course, you are responsible for all material contained in the Course, and you represent that there is no violation of law or third party rights in the uploading of the Course and the provision of the Course.
TRANSACTIONS
- Participants purchase the Course through the Platform, and payment for the Course will be made using a payment gateway service. As such, the implementation of payment is also subject to the terms of use of the payment gateway provider. By making a payment, you hereby declare that you have agreed to all such terms of use.
- Payment for the Course will be collected by BridGuru, and then BridGuru Commission will be deducted.
- Mentors will receive Course payments after the Transaction has been declared successful, i.e. if it has passed the period for requesting a refund and/or canceling the Course.
- All additional costs and taxation arising from the Transaction will be borne respectively by the party charged with such costs or taxation in accordance with the provisions of the applicable laws and regulations.
REFUNDS AND COURSE CANCELLATIONS
- As a Participant, You can apply for a refund and/or cancellation of the Course that You have paid through the Platform, by submitting the request through the Account dashboard or the Platform contact address that We have provided.
- A Participant's application for a refund and/or cancellation of the Course can only be submitted on the grounds that the Course provided does not match the description, or the Course cannot be accessed by the Participant due to technical constraints on the Course.
- Submission of a refund and/or cancellation of the Course can only be submitted a maximum of 7 (seven) calendar days after the purchase is successful, and the Participant has not accessed at least 20% (twenty percent) of the Course material.
- After passing the 7 (seven) calendar day deadline, the application for a refund and/or cancellation of the Course cannot be made even if the Participant has not accessed the materials.
- At Our discretion, We reserve the right to refuse or process the application for refund and/or cancellation of the Course submitted by the Participant.
PROMO
As a Mentor, you can provide promos in the form of discounts and other promos. The party organizing the promotional activity will bear all costs and obligations that must be carried out regarding the promo.
ARTIFICIAL INTELLIGENCE
In providing the Service, the Platform uses artificial intelligence technology to improve user experience, including providing relevant Course recommendations based on user activity on the Platform.
You understand and agree that the recommendations generated by the artificial intelligence system are not absolute, and the final decision making remains your responsibility as a User. Thus, any decisions you make based on these recommendations are entirely your responsibility, and cannot be used as a basis for claiming liability from the Platform or the artificial intelligence system used.
LIMITATION OF LIABILITY
- You agree to release and indemnify Us, Our employees, representatives, agents, and affiliates, from any claims, demands, actions, or other proceedings brought against them or arising from claims arising out of Your breach of these Terms and Conditions. You will pay all costs, losses, and expenses including but not limited to reasonable attorneys' fees and costs awarded to or incurred by Us related to or arising from such claims, demands, actions, or proceedings.
- We shall not be liable for any default or loss, direct or indirect, material or immaterial caused by any interaction between the Mentor and the Participant during the Services and/or the Course, including but not limited to any interaction via the Platform and outside the Platform. We are not responsible for any errors or actions made by the Mentor in relation to the Course and any actions on the Platform.
- We do not employ Mentors and We are not liable for any disputes, claims, losses, injuries or damages whatsoever that may arise from or relate to the actions of Mentors or Participants, including but not limited to Participants' reliance on any information provided by Mentors.
- We do not control the Courses and, as such, do not guarantee in any way the reliability, validity, accuracy or correctness of such submitted content. You also understand that by using the Services, We may display to You Courses that have been submitted or uploaded that You may find offensive, indecent or objectionable. We will not be responsible for keeping such content from You.
- We are not responsible for any loss and/or damage caused by viruses, system failures, internet crimes, or other malicious computer code.
- The Platform is provided to you in an "as is" form without warranty, and your use of the Platform means that you acknowledge and agree to all risks that may arise from using the Platform.
FORCE MAJEURE
The provision of Services by us may be disrupted by events beyond our authority and/or control and not caused by our intentions ("Force Majeure"), which include but are not limited to natural disasters (earthquakes, volcanic eruptions, storms, tsunamis, floods, droughts, landslides, etc.), epidemics, fires, sabotage, states of war, strikes, terrorism, and malfunction of electricity and/or internet networks caused by malfunction of electric power or other causes beyond our power.
You hereby agree to release Us from all claims of responsibility or compensation caused by the inability to provide the Service (either in part or in full) by Us.
INTELLECTUAL PROPERTY RIGHTS
- You understand and agree that any information contained on the Platform, whether in the form of video, audio, images, or text, is protected by intellectual property rights ("IPR"), including but not limited to brands and copyrights. You are prohibited from using, altering, disclosing, distributing or disassembling such information without obtaining permission from the owner.
- Your use of the Platform does not constitute an automatic transfer of IPR. The owner of each IPR will remain the owner of the IPR.
- We remain the owner of the BridGurutrademark, and there is no transfer of ownership of such IPR to any party.
- In using the Platform, you must ensure that the Courses you upload do not infringe any party's IPR, and comply with applicable laws and regulations.
APPLICABLE LAW
These Terms and Conditions are made and interpreted based on the laws applicable in the Republic of Indonesia. In the event of a dispute related to the Terms and Conditions, the parties will seek deliberation for consensus.
In the event that no consensus has been reached after 60 (sixty) calendar days from the start of deliberations, then the dispute resolution will be carried out through the District Court in the BridGuru domicile area.
OTHER
- Our relationship with You is an independent relationship and no agency, partnership, joint venture, employer-employee or proprietor relationship of franchisee and franchisor will be created under the Terms and Conditions.
- The headings in these Terms and Conditions are for reference only and do not imply, limit, explain, or describe the content of these points.
- If any provision of these Terms and Conditions is invalid, illegal or unenforceable, the remaining provisions of these Terms and Conditions shall remain in full force and effect and these Terms and Conditions shall be construed in all respects as if the invalid, illegal or unenforceable provision were omitted or did not form part of these Terms and Conditions, except in the event that doing so would alter the entirety of these Terms and Conditions.
